D.o.o. (limited liability company) is the most common form of business company in Croatia. It is suitable for small and medium-sized enterprises and entrepreneurs who want to limit personal liability to the capital invested.
A d.o.o. is a legal entity that can be founded by at least one founder. It is characterised by limited liability: founders are not personally liable for the company's debts — risk is limited to the amount of capital invested.
In Croatia, the law sets a minimum share capital of €2,500.00. At least one quarter (e.g. €625) must be paid up on incorporation, and the remainder within one year of registration in the court register.
A d.o.o. is established under the Companies Act, registered with the Commercial Court, and requires a company agreement or founding statement (with a notary). Members may be natural or legal persons.
