D.o.o. (limited liability company) is the most commonly used form of business company in Bosnia and Herzegovina. It is suitable for small and medium-sized enterprises with limited liability and relatively low capital requirements.
Members are liable only up to the amount of their contribution. They are not personally liable for the company's debts. BiH has two entities — the Federation of BiH and Republika Srpska — with different minimum capital requirements for d.o.o.
In the Federation of BiH, the minimum capital for a d.o.o. is 1,000 KM (minimum 100 KM per partner). In Republika Srpska it can be symbolic (1 BAM). Check the regulations of the entity where you are establishing the company.
The d.o.o. is governed by the companies law at entity level. Registration is carried out according to FBiH or RS regulations. BiH does not have j.d.o.o. — only d.o.o., d.d. and other forms.
